In contract law, the effective date is the date that an agreement or transaction between or among signatories becomes binding. For an initial public offering (IPO), it is the date when shares can first be traded on an exchange. An effective date specified in the contract is usually a fixed date, but it may also be a variable date based on the satisfaction of a condition precedent. For example, the effective date may be the date on which one party files a relevant document with the Secretary of State, the date a specific agency issues a license, or the date one party receives a necessary approval. Many jurisdictions allow for contracts that have an effective date that is earlier than the date that the documents were signed. This is commonly known as "backdating." Just because you're able to backdate a contract in your area, though, doesn't always mean it's a good idea to do so. Backdating a contract can have some negative effects.
